Czech Free Trade Licence
According to the Czech Trade Licensing Act (Act No. 455/1991 Coll.), the business activity is conducted systematically, individually, using one's own name, on one's own responsibility, with a view to make profit and under the conditions laid down under this law. The different professions requiring a trade licence are listed in annexes 1- 4 of the Czech Trade Licensing Act. The Czech Trade Licensing Act differentiates between notifiable trades, where the licence is granted once the agreed conditions are met and the Czech Trade License Office is notified (Czech Free Trade License), and concessionary trades, which require state permission – i.e. the granting of a concession; this is not accorded automatically. Access to the Czech Trade Register is free and available online and in English language.

The Czech free trade license “Production, trade and services not specified in Annexes 1 to 3 of the Trade Licensing Act” is divided into the following branches (fields of activities) and these shall be notified to the Czech Trade License office. Until recently, in the foundation deed of a Czech company only “Production, trade and services not specified in Annexes 1 to 3 of the Trade Licensing Act” could be mentioned and the fields of activities were to be registered in the Czech Trade Register only.
However, this long-standing practice has been reversed by the decision of the Supreme Court of the Czech Republic file No. 27 Cdo 3549/2020 dated 12.5.2021, where the Supreme Court stated that such a provision of the foundation deed is vague and therefore invalid. According to this decision, it is therefore necessary to define specific fields of activity in the foundation deed and also in the company's registration in the Commercial Register. Although we rather disagree with these radical conclusions of the Supreme Court, as can be read in detail in our article, companies must consider whether to comply with these conclusions or wait for further developments which could change the nonsensical interpretation advocated in the above-mentioned judgement.

Where the provision of services to legal entities and trusts (80) and the provision of services related to the virtual asset (81) is carried out by a legal person, Schedule 6 to the Trade Licensing Act requires that the beneficial owner and a member of the statutory body or a person in a similar position to a member of the statutory body must be of criminal integrity. Therefore, it is necessary to have an extract from the person’s criminal record.
