Termination of Branch in the Czech Republic

 

Dissolution of a Czech branch (permanent establishment in the Czech Republic)

 
A branch office (in Czech: “organizační složka”) is not a separate legal entity, but functions as the representative of the establishing foreign company and incurs obligations on the foreign company's behalf. Therefore, in case of closure and “liquidation” of the Czech branch, no special liquidation process has to be implemented. All liabilities and receivables (incl. assets) are part of the equity of the foreign mother company.
 

Liquidation of a Czech branch

 
We recommend terminating all contracts related to the existence of the Czech branch prior to the Czech branch's liquidation. It is also important to deregister all taxes and apply for termination of the existing Czech trade licenses. The Czech branch is closed based on the decision of the founder, i.e. of the foreign mother entity.
 

Deletion of a Czech branch from the Czech Commercial Register

 
The Czech branch will be deleted from Czech Commercial Register based on the application filed with the Czech Commercial Register accompanied with the following documents:
 
(a) notarized copy of the founder company´s corporate documentation (extract from the commercial register);
 
(b) decision on dissolution of the Czech branch adopted by the foreign mother entity.
